Welcome to PincodeKart, your trusted e-commerce platform that connects manufacturers, local vendors (Virtual Dukandars), and customers within designated pincodes. By using our platform, you agree to abide by these Terms and Conditions. Please read them carefully to understand your rights and responsibilities. About PincodeKart PincodeKart is an innovative e-commerce platform focused on empowering local businesses and streamlining the shopping experience for customers. By connecting manufacturers with local vendors and customers, we ensure fast, reliable, and localized delivery solutions. Our platform aggregates products by pincode, enabling customers to access a diverse range of products while supporting local businesses. With our ISO 9001 certification for quality management and ISO 27001 certification for data security, we guarantee a secure and efficient shopping environment for all stakeholders.

2. Definitions

* Manufacturer: A registered and licensed entity responsible for listing products on PincodeKart. A manufacturer must possess valid certifications such as MSME registration, GST registration, Certificate of Incorporation (for private limited companies or LLPs), or a Partnership Deed. Additional industry-specific licenses, such as FSSAI for food products, BIS for electronics, or AYUSH/Drug licenses for medical products, are mandatory when applicable. Manufacturers are also accountable for ensuring compliance with all local, state, and national laws related to product safety, quality, and labeling. * Virtual Dukandar: A local vendor exclusively approved and listed by PincodeKart to manage and deliver specific product categories within a designated pincode area. Dukandars operate under contractual agreements with PincodeKart, adhering to specific guidelines for promotion, delivery, and customer interaction. * Platform: Refers to PincodeKart’s e-commerce website and associated services that aggregate and facilitate the availability of pincode-specific products to end consumers. This includes tools for product listing, marketing, order processing, and customer engagement. * Order: A formal request made by a customer through the PincodeKart platform to purchase listed products. An order includes details about the product, payment confirmation, delivery preferences, and any applicable promotional terms.

3. User Responsibilities

a. Manufacturer Responsibilities Manufacturers are required to: * Provide valid documentation certifying their establishment as a legitimate enterprise. This includes but is not limited to MSME registration, GST certificates, and industry- specific licenses such as FSSAI for food products or BIS for electronic goods. * Register on PincodeKart’s platform by creating a Manufacturer login, uploading product details, and ensuring prices and MRPs are accurate and up-to-date. * Maintain accurate inventory levels and promptly update product availability. Non- compliance or misrepresentation may result in penalties or removal from the platform. * Ensure that products meet applicable legal, safety, and quality standards. Products must be free of defects, and manufacturers bear full responsibility until the product reaches the Dukandar. * Adhere to PincodeKart’s Vendor Agreement Policy, ensuring timely dispatch, proper packaging, and participation in the return and refund processes (refer to Vendor Agreement Policy for detailed clauses). * Provide ongoing support for defective or returned products, including replacements or refunds as stipulated in the Return and Refund Policy. b. Dukandar Responsibilities Virtual Dukandars must: * Actively engage with the platform by promoting registered products both locally and digitally. This includes using PincodeKart’s marketing tools and adhering to the guidelines outlined in the Marketing and Advertising Policy. * Provide valid establishment certificates and comply with any verification requests initiated by PincodeKart. * Create and maintain an up-to-date Dukandar profile, including accurate product listings and pricing details. * Conduct open-box deliveries as per the Open Box Delivery Policy, allowing customers to inspect products before acceptance. Deliveries must follow OTP verification protocols to ensure authenticity. * Avoid accepting cash payments. All transactions must align with PincodeKart’s online-only payment policy. * Manage customer feedback and resolve issues promptly, escalating unresolved complaints to PincodeKart for further action. Non-compliance with delivery or service standards may result in account suspension or penalties. c. Customer Responsibilities Customers using PincodeKart must: * Create a verified account, providing accurate personal and contact details, including preferred delivery time slots. * Inspect the product during open-box delivery and report any discrepancies, damages, or defects immediately to the Dukandar or through PincodeKart’s customer service channels. * Adhere to the Return and Refund Policy, ensuring returns are initiated only under eligible conditions within specified timeframes. * Respect all terms related to promotional offers, discounts, or loyalty programs as communicated by PincodeKart.

4. Privacy Policy

a. Data Collection We collect personal information such as name, email address, phone number, payment details, and shipping address for processing orders, payments, and delivering a better customer experience. b. Data Security PincodeKart is committed to safeguarding user data and adheres to ISO 27001 standards for data security and ISO 9001 standards for quality management. Personal data collected from manufacturers, Dukandars, and customers will not be misused under any circumstances. Regular audits are conducted to ensure compliance with data protection laws and platform policies. c. Data Usage User data will only be used for order processing, logistics coordination, service improvements, and promotional activities (with user consent). Certain data may be shared with third-party logistics providers for delivery purposes. For a comprehensive overview, refer to the Privacy Policy. d. Third-Party Sharing We may share personal data with third-party vendors and service providers who help us provide services, such as payment processing and delivery logistics. We ensure these parties comply with strict privacy standards.

5. Payment Policy

5.1. Payment Methods We only accept online payments through secure payment gateways. Payments must be made at the time of order placement or upon delivery (if offered by PincodeKart in certain areas). 5.2. Transaction Security All payment transactions are processed securely using encryption methods that meet industry standards. 5.3. Platform Fees PincodeKart may introduce platform fees in the future. These fees will be levied on manufacturers, Dukandars, or customers based on the services provided.

6. Return and Refund Policy

6.1. Return Eligibility * Open-Box Return: Customers can return products if the packaging is damaged or if the item is defective during the open-box delivery process. * Size-Related Return: Customers can return items due to size issues within 2 days of delivery. * Non-Returnable Items: Perishable items and products listed as non-returnable cannot be returned. 6.2. Refund Process Refunds will be processed within 7 days after the return is approved. If the return is due to a defect or size issue, the product will either be replaced or refunded. 6.3. Return Procedure Customers must notify PincodeKart or their Dukandar immediately after receiving the product. Returns must be initiated within the specified return period. 6.4. Shipping Charges Shipping charges will be communicated separately and are non-refundable except for cases where the product is defective or incorrect.

7. Open Box Delivery Policy

7.1. Procedure * The Dukandar will deliver products with open-box verification. The customer must inspect the product at the time of delivery. * Customers have the right to reject the product if it is damaged or incorrect during inspection. 7.2. Acceptance Products will only be accepted upon successful open-box verification by the customer at the time of delivery. Any issues identified during this process must be reported immediately to the Dukandar or through PincodeKart’s customer service channels. 7.3. Non-Eligibility for Return Products accepted during open-box delivery cannot be returned unless explicitly permitted under the Return and Refund Policy (e.g., size-related issues reported within two days).

8. Vendor Agreement Policy

a. Manufacturer Responsibilities * Manufacturers must comply with all applicable laws and regulations, including product certifications and licenses. * Accept accountability for defective products, high return rates, or delays in dispatch. Manufacturers failing to meet these standards may face penalties, suspension, or termination. b. Dukandar Responsibilities * Fulfill all User Responsibilities outlined in Section 2b. * Maintain active engagement on the platform, ensuring no inactivity beyond two weeks unless pre-approved by PincodeKart. 8.2. Payment Terms Manufacturers and Dukandars agree to a clear payment settlement process and PincodeKart, as specified in the Revenue Sharing Policy. 8.3. Termination Repeated violations of platform standards or prolonged inactivity will result in termination. All parties are required to settle outstanding payments and obligations prior to account closure (refer to Vendor Agreement Policy).

9. Shipping and Delivery Policy

9.1. Shipping Charges All shipping charges will be calculated and communicated at the time of order. Shipping charges are non-refundable except in cases where the product is defective or incorrect. 9.2. Delivery Process Manufacturers are responsible for: * Booking logistics and ensuring timely shipment of products to Dukandars. * Adhering to packaging guidelines to prevent damages during transit. Dukandars are responsible for: * Conducting timely and accurate deliveries within their designated pincode areas. * Ensuring compliance with open-box delivery protocols. Refer to the Shipping and Delivery Policy for further details. 9.3. Delivery Time Customers will have the option to select a preferred time slot for delivery, based on availability.

10. Loyalty Program (Future Initiative)

PincodeKart may introduce a loyalty program offering rewards, discounts, or exclusive offers for customers who make regular purchases. Terms and conditions of the program will be outlined separately once launched.

11. Product Reviews and Marketing

a. Product Reviews Dukandars are encouraged to promote their registered products locally and digitally. Product reviews must be monitored to ensure compliance with platform guidelines. Reviews deemed offensive or misleading will be removed. b. Marketing Rights Marketing campaigns must adhere to PincodeKart’s guidelines, reflecting truthful and accurate product representations. Refer to the Marketing and Advertising Policy for further details.

12. Governing Law and Dispute Resolution

These Terms and Conditions are governed by and construed in accordance with the laws of India. If any dispute or difference shall arise between the parties hereto touching the business of the Firm or Interpretation of any provision hereof or otherwise, however, relating to the Firm and Its business, the same shall be referred to arbitration of a common Arbitrator if agreed upon, failing which to arbitrators one to be appointed by each party to the arbitration and the arbitration shall be governed by the Arbitration & Conciliation Act, 1996.
